Welcome to AutoNexus. These Terms of Service ("Terms") govern your access to and use of the AutoNexus AI-powered digital services platform ("Service"), operated by AutoNexus LLC ("Company", "we", "us", or "our").

1. Acceptance of Terms

By creating an account, accessing, or using the Service, you agree to be bound by these Terms. If you do not agree, you may not use the Service. These Terms constitute a legally binding agreement between you and AutoNexus LLC.

2. Eligibility

You must be at least 18 years old and capable of forming a binding contract to use the Service. By using the Service, you represent and warrant that you meet these requirements.

3. Accounts and Registration

• You must provide accurate and complete information when creating an account.
• You are responsible for maintaining the confidentiality of your account credentials.
• You agree to notify us immediately of any unauthorized use of your account.
• We reserve the right to suspend or terminate accounts that violate these Terms.

4. Service Description

AutoNexus provides AI-powered digital services including content generation, code generation, data analysis, document processing, translation, and summarization. Services are delivered via a web interface and REST API. Credits are consumed based on service usage.

5. Payments and Credits

• Pricing: All prices are listed in USD unless otherwise stated. Prices are subject to change with 30 days notice.
• Credits: Credits are non-refundable and non-transferable between accounts unless required by law. Credits do not expire.
• Payment Processing: Payments are processed by Stripe (cards, Apple Pay, Google Pay) and/or NowPayments (cryptocurrency). We do not store full payment card data.
• Subscriptions: Recurring subscriptions auto-renew unless cancelled. You may cancel at any time via your account dashboard.
• Refunds: Refunds are issued at our discretion for technical failures attributable to our platform. No refunds for completed AI jobs.

6. Acceptable Use

You agree not to use the Service to:

• Generate, distribute, or promote illegal, fraudulent, defamatory, obscene, or harmful content.
• Violate intellectual property rights of third parties.
• Attempt to gain unauthorized access to our systems or other users' accounts.
• Use the Service in a manner that could damage, disable, overburden, or impair our infrastructure.
• Resell API access or credits without explicit written authorization.
• Scrape, crawl, or otherwise harvest data from the Service.

Violation of these rules may result in immediate account termination, forfeiture of credits, and legal action.

7. Intellectual Property

• Your Content: You retain all rights to content you submit to the Service. By submitting content, you grant us a limited license to process it for the purpose of providing AI services.
• AI Output: You own the output generated by the Service for your requests, subject to applicable laws regarding AI-generated works.
• Our IP: The AutoNexus name, logo, software, and platform design are our exclusive property. You may not use them without written permission.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT AI OUTPUT WILL BE ACCURATE, COMPLETE, OR SUITABLE FOR ANY PARTICULAR PURPOSE. AI-GENERATED CONTENT SHOULD BE REVIEWED BEFORE USE IN CRITICAL APPLICATIONS.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AUTO NEXUS LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM.

10. Indemnification

You agree to indemnify and hold harmless AutoNexus LLC and its officers, directors, employees, and agents from any claims, damages, losses, and expenses arising from your use of the Service or violation of these Terms.

11. Termination

We may suspend or terminate your account and access to the Service at any time, with or without cause, with or without notice. Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination shall survive.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles. Any disputes shall be resolved in the state or federal courts located in Delaware.

13. Changes to Terms

We may modify these Terms at any time. Material changes will be notified via email or platform notice at least 30 days before taking effect. Your continued use of the Service after changes constitutes acceptance.
